Exchange Commission (SEC). Alan L. Boeckmann, Fluor chairman and chief

the company's financial statements and other reports filed in 2002 with
the SEC.
Submission of the material complies with a June 27, 2002 SEC order and
the Sarbanes-Oxley Act requiring statements from companies certifying
the accuracy and completeness of financial reports. The process and
conclusions supporting these certifications were reviewed with the Audit
Committee of the Fluor Board of Directors.
